Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Arendel (“Arendel,” “we,” “us”), a deal operations platform operated by Legacy Capital Partners. By signing in, accepting an invitation, or otherwise using Arendel, you agree to these Terms.

1. The Service

Arendel provides a platform for organizing private-equity deal information, including documents, tasks, communications, and party records. The Service is offered in closed-beta form and may change materially without notice.

2. Account & Eligibility

You must be 18+ and authorized by your employer or client to use Arendel on their behalf. Account credentials are personal — you may not share them. You are responsible for all activity that occurs under your account.

3. Confidentiality

Deal information uploaded to Arendel may contain material non-public information, privileged communications, and other confidential material. You agree to use Arendel only in furtherance of the deal(s) you are explicitly granted access to. You will not download, share, or use any information from Arendel for any purpose unrelated to your role on a specific deal. Trading or any other use of MNPI in violation of securities laws is prohibited.

4. Acceptable Use

You will not: (a) attempt to access deals or data you have not been granted access to; (b) reverse-engineer the Service; (c) upload malware or content that infringes third- party rights; (d) use the Service to send spam or unsolicited communications; (e) attempt to defeat rate limits or security controls.

5. Data & Privacy

Our handling of your information is described in the Privacy Policy.

6. Third-Party Services

Arendel relies on third-party processors to deliver the Service, including: Clerk (authentication), Neon (database), Cloudflare R2 (file storage), Vercel (hosting), Resend (email delivery), Anthropic (AI document drafting), Sentry (error monitoring), Stripe (billing). Your data passes through these providers as needed.

7. Intellectual Property

You retain ownership of the content you upload. You grant Arendel a non-exclusive, worldwide license to host, store, process, and display your content solely as needed to provide the Service. We retain ownership of the Arendel software, brand, and platform.

8. AI-Generated Drafts

Documents drafted by Arendel’s AI features (LOI, APA, NDA, IC Memo, etc.) are provided as starting drafts only. You are solely responsible for reviewing every AI output for accuracy, completeness, and legal sufficiency before using or transmitting it. AI drafts are NOT legal advice.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU HAVE PAID TO ARENDEL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (b) $100. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Term & Termination

We may suspend or terminate your access at any time, with or without cause, particularly if we believe you have violated these Terms. You may stop using the Service at any time.

12. Changes to These Terms

We may revise these Terms by posting an updated version. Material changes will be communicated to your registered email address with at least 14 days notice. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Travis County, Texas.
